RECOMMENDED ACTION:

Adopt a Resolution Authorizing the City Manager to Execute Amendment No. 4 to the Professional Services Agreement with A1 Protective Services, LLC to Extend the Term of the Agreement through December 31, 2026 and Increasing the Contract amount by $325,000, for a Total Amount Not-to-Exceed $2,781,000.

body

BACKGROUND INFORMATION:

In March 2023, the City released a Request for Proposals (RFP) for security services at City Hall Campus, Hutchins Street Square, Lodi Public Library, Transit Station and Parking Structures.

In May 2023, City Council approved execution of a Professional Services Agreement with A1 Protective Services, LLC (Agreement); Resolution 2023-91. The original term of the Agreement was July 1, 2023 through June 30, 2026, with an option to extend the term for an additional five (5) one-year extensions. The original Agreement amount was not-to-exceed $1,599,000.

In July 2023, City Council approved Amendment No. 1, Resolution 2023-131, to expand the scope of services to include additional work for the Safety Ambassador Program at a cost of $815,000, increasing the Agreement's not-to-exceed amount to $2,414,000.

In February 2024, City Council approved Amendment No. 2, Resolution 2024-10, to include liquidated damages language that was inadvertently omitted from the Agreement and to add $42,000 to account for A1 Protective Services, LLC's overtime and holiday rates. Amendment No. 2 increased the total Agreement not-to-exceed amount to $2,456,000.

On May 6, 2026, City Council authorized Amendment No. 3 to modify security service levels, make changes to the Safety Ambassador Program, and extend the term of the Agreement for four (4) months through October 31, 2026. The four-month extension was approved without an increase to the Agreement's not-to-exceed amount. The extension provided additional time for the City to evaluate the Safety Ambassador Program and develop a revised scope of work for a new RFP.

Staff now recommends extending the Agreement for an additional two (2) months, through December 31, 2026, to allow for continued security services while the City completes the procurement process and transitions to a new citywide security services agreement.

Because the prior four-month extension did not increase the Agreement's not-to-exceed amount, additional funding is now required to cover the cost of services during the additional two-month extension. Staff recommends increasing the Agreement's not-to-exceed amount by $325,000, resulting in a total Agreement not-to-exceed amount of $2,781,000.

All other terms and conditions of the Agreement will remain unchanged.

FISCAL IMPACT:

Funding is budgeted annually for security services.
