RECOMMENDED ACTION:
Adopt a resolution amending the Lodi Arts Commission Bylaws under “Meetings and Rules of Order,” “Quorum,” Section A, to establish a quorum of five members when all nine Commission positions are filled and four members when eight or fewer members are appointed.

BACKGROUND INFORMATION:
The Lodi Arts Commission is authorized to consist of nine members. The current Lodi Arts Commission Bylaws provide that a majority of the Commission constitutes a quorum for the transaction of business and specifically require five members of the Commission to be present to establish a quorum.
Recent Commission vacancies and member availability have made it difficult for the Commission to consistently meet the five-member quorum requirement. When fewer than nine Commission positions are filled, the existing requirement can prevent the Commission from conducting scheduled business even when a significant majority of the currently appointed commissioners are present.
At its August 12, 2026, regular meeting, the Arts Commission considered potential amendments to the quorum requirement. During its discussion, the Commission expressed a desire to provide additional flexibility when Commission seats are vacant while maintaining a quorum requirement that ensures Commission business is conducted with adequate representation.
Following discussion, the Arts Commission unanimously recommended amending the Bylaws to establish a quorum of five members when all nine Commission positions are filled and four members when eight or fewer members are appointed.
The existing language under “Meetings and Rules of Order - Quorum - Section A” states:
“A quorum for the transaction of business shall consist of five (5) members when all nine (9) Commission positions are filled and four (4) members when eight (8) or fewer Commission positions are filled by appointed members.”
The proposed amendment maintains the existing five-member quorum when the Commission is fully appointed while allowing the Commission to continue conducting business during periods when one or more positions are vacant.
All other provisions of the Lodi Arts Commission Bylaws will remain unchanged.
