RECOMMENDED ACTION:
Adopt a Resolution authorizing the Acting City Manager to enter into Amendment No. 1 to the Engagement of Legal Services Agreement with Meyers Nave (“Meyers Nave”) for extended services related to personnel investigations in an amount not to exceed $210,000.

BACKGROUND INFORMATION:
The City Attorney’s Office engaged Meyers Nave to provide legal services reasonably required to represent and advise the City in connection with employment matters regarding the City Manager, as requested by the City Attorney. This amendment would authorize the extension of services to allow Meyers Nave to hire investigators through its current legal services agreement to facilitate personnel investigations.
Since April 2025, Meyers Nave attorneys have served as special counsel and advised on matters as requested from time to time by the City Attorney. Now, further legal assistance from Meyers Nave in the form of facilitating personnel investigations is necessary. To accommodate the City’s continuing legal service needs, the proposed Resolution approving Amendment No. 1 to the Engagement of Legal Services Agreement (attached as Exhibit A) would allocate $150,000 in additional funding for the legal services for a total contract amount not to exceed $210,000.
Therefore, staff recommends that the Lodi City Council approve the proposed resolution authorizing the Acting City Manager to enter into Amendment No. 1 to the Engagement of Legal Services Agreement with Meyers Nave for legal services related to the facilitation of personnel investigations as requested by Lodi City Council.

FISCAL IMPACT:
Meyers Nave charges fee rates ranging between $225 and $610 per hour for its legal services and a direct pass through of its costs. We anticipate a total contract amount not to exceed $210,000 for the remaining 2024-25 fiscal year.
FUNDING AVAILABLE:
Cost for the additional funds needed will be charged to the respective departments accordingly.
